33rd Annual Ordinary General Meeting of RHÖN-KLINIKUM AG

At today’s annual general meeting (AGM) of RHÖN-KLINIKUM AG, the shareholders approved the proposal of the board of directors and the supervisory board not to distribute a dividend for the past financial year 2020. Due to the persistent uncertainties regarding the future effects of the COVID 19 pandemic on the income and liquidity situation, the Management Board and the Supervisory Board had proposed to the General Meeting to defer the entire distributable net profit by approx. . 193.2 million euros. Maintaining distributable net profit will strengthen the capital and liquidity base and preserve the ability of RHÖN-KLINIKUM AG to make investments.

In addition to the resolution on the allocation of distributable net profit and the election of a member of the Supervisory Board, the agenda also included resolutions on the formal approval of the acts of the Management Board and the Supervisory Board for the fiscal year 2020 and on the new system remuneration for the board of directors. The shareholders approved all the items on the agenda. The acts of the Management Board and the Supervisory Board for the 2020 financial year were approved by a clear majority.

Call for a national policy to ensure acceptable medical care

In addition to commenting on the development of fiscal year 2020 and the first quarter of 2021, on which RHÖN-KLINIKUM AG has already reported in detail (see Corporate News of March 25, 2021 and May 6, 2021), the Management Board has now reported account of the necessary reforms of the German health system.

The board of directors of RHÖN-KLINIKUM AG has repeatedly expressed its demands in numerous discussions with national and federal politicians. These demands include the reduction of bureaucracy in the required documentation and also the reduction of the overall volume of documentation, adequate funding of investments, binding planning certainty and full compensation for lost revenue for 2021, including all types. income and expenditure, as well as the overhaul of the German hospital landscape system according to structured and transparent criteria.

“We have been heard, it is now up to politicians to set in motion the necessary reforms. But unfortunately the political mills are turning very slowly and it is also necessary to correct the failures of the past decades”, Dr. Christian Höftberger, CEO of RHN -KLINIKUM AG, said.

Marco Walker elected to the supervisory board

Marco Walker, 45, COO of Asklepios Kliniken GmbH & Co. KGaA, Hamburg, and Managing Director of Asklepios Kliniken Management GmbH, has been elected to the Supervisory Board of RHÖN-KLINIKUM AG. He succeeds Prof. Dr. Gerhard Ehninger who resigned his mandate and left the Supervisory Board of the Company on January 15, 2021. Walker was appointed member of the Supervisory Board of the Company by order of the Amtsgericht (local court) in Schweinfurt on March 3, 2021. Today, the shareholders elected him to the board of directors as the shareholders’ representative.

New remuneration system for the board of directors

In addition, the AGM approved a new compensation system for the Board of Directors which was developed by the Supervisory Board and adopted in March 2021. The compensation system for the Board of Directors will apply from April 1, 2021. RHÖN-KLINIKUM AG thus puts into practice the amended regulatory requirements on the remuneration of the board of directors in accordance with the implementing law of the second directive on the rights of shareholders (Gesetz zur Umsetzung der zweiten Aktionärsrechterichtlinie – ARUG II ). The remuneration system is an incentive for efficient and sustainable management of the company. It specifies a maximum level of remuneration and contains detailed provisions for both fixed and variable remuneration components.
